If a certificate representing shares of a close corporation contains the statement required by Section 21.732 , and a complete copy of each shareholders' agreement has been delivered as required by Section 21.717 , each holder, transferee, or other person claiming an interest in the shares of the close corporation is conclusively presumed to have knowledge of a close corporation provision in effect at the time of the transfer.
